Terms and Conditions for use 

Welcome to Hienvision Limited (“we,” “our,” “us,” “Hienvision”). These Terms and Conditions, including the terms and conditions, and our policies referenced in our website or pages (collectively “General Terms”) govern the use of this website, its gateway, and/or pages (collectively referred as “Site”). By accessing or using our Site, all users of the Site (“you”, “Users”) shall be deemed to agree with, fully accept, and be bound by General Terms.

1. Use of the Site

1.1 By browsing, or visiting our Site, and/or purchasing or subscribing any products or services (collectively “Services”) from us or through the Site, you agree to be bound by all the General Terms. 

1.2 You may review the most current version of General Terms at any time on our Site. Hienvision reserve the right to update, or change these General Terms (or any part thereof) by posting updates and/or changes to our Site from time to time. You may check our Site for any changes in General Terms from time to time. Your continued use of or access to the Site following our posting of any changes constitutes your full acceptance of all those changes to the General Terms and the latest General Terms.

1.3 If the individual agreeing to these General Terms is doing so, as parent or legal guardian, on behalf of a user that has not reached the age of majority in the jurisdiction where that user resides or uses the Site or any Services, that individual acknowledges and agrees being responsible for use of the Site and any Services by, and the activities of, that user. 

1.4 You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit, any other party’s use and enjoyment of the Site.

1.5 You shall not transmit any worms or viruses or any code of a destructive nature.

1.6 You understand and agree that Hienvision has reserved all rights regarding the contents text, designs, logos, trademarks, images, audio, videos contained in the Site, our pages, or any parts therein (collectively “Contents”) 

1.7 You shall be solely responsible for compliance with all applicable laws and regulations of relevant jurisdictions (within and/or outside Hong Kong), including but not limited ordinances, rules, and regulatory requirements of regulatory authorities (collectively “Laws”), relating to any access or use of the Site, Contents or Services. 

2. Contents in the Site are provided on as is basis 

2.1 The Contents in this Site is provided on as is basis only. 

2.2 This Site may contain some historical information for reference only. The Contents may not be current, complete, or accurate. 

2.3 The Contents should neither be relied upon nor used as the sole basis for making any decision. 

3. Intellectual Property

3.1 The Contents contained, or will be contained in our Site, are the property of Hienvision, and/or our licensors/relevant third parties (where applicable). We reserve all rights not expressly granted to you. 

3.2 You are not allowed to redistribute, resell, decompile, reverse engineer, disassemble, or otherwise convert any Contents or Services that you do not own, unless expressly permitted by Hienvision or the rightful owner.

3.3"Intellectual Property" means domestic/local and foreign intellectual property rights, which include but not limited to: (a) copyrights; (b) designs and similar rights; (c) patents and inventions; (d) licences; (e) trade names, business names, corporate names, domain names, website names and world wide web addresses, and (f) trademarks, and logos.

3.4 Unless with Hienvision’s explicit prior written consent: (a) you are not allowed to: reproduce, distribute, or modify any of the Contents for any kind of purposes; (b) you are not allowed to use any of the Contents for creating derivative works or in any way for commercial or public purposes. Hienvision shall have the right and absolute discretion to decline giving any such consent or to impose additional terms for any such consent.

3.5 "Trademark" means any or all trademark, trade name, logo, design, symbol, or sign used to identify and distinguish goods or services of Hienvision and/or any other third parties (as applicable). We and/or other parties (as applicable) own the Trademarks that are or will be displayed on the Site; any pages or parts of the Site; or through links in the Site. You shall not: (a) infringe the rights of the owner(s) of Trademarks and/or (b) breach any of our rights relating to Trademarks.

3.6 You shall be solely responsible for compliance with Laws of all relevant jurisdictions (including but not limited to copyright, Trademark, and Intellectual Property Laws), regarding: (a) your access and/or use of the Site or Contents contained in the Site; (b) any use of Services; or (c) any related matters.

4. Disclaimers and Limitation of Liability

4.1 The Site and its Content are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Hienvision, its directors, employees, staff agents, service providers, suppliers, affiliates (collectively the “Group”) shall not be liable for your use of the Site, Contents, or any related matters.

4.2 From time to time, Hienvision may modify or update the Site or any Contents; or interrupt or suspend the use of the Site.

4.3 To the fullest extent permitted by law, Hienvision and the Group shall not be liable for any loss, costs, claims or damages, howsoever caused, under all circumstances. 

4.4 Hienvision and the Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible loss (whether in contract, tort, or otherwise), resulting from or relating to (a) your use, or inability to use, of the Site; (b) any Contents; (c) these General Terms; and/or d) any Services.

4.5 Hienvision and the Group shall not be liable for any breach by you of any Laws, or any infringement of any third-party rights, including but not limited to any use of any Contents or the Site.

4.6 Under all circumstances, Hienvision, and the Group shall not be liable for any loss, costs, or damages which are (or may arise either directly or indirectly) beyond our control.

4.7 Hienvision and the Group do not provide any kind of guarantee or warranty. 

4.8 Nothing contained in the Site shall constitute any legal advice or investment advice. The Contents (or any part thereof) shall neither constitute any legal advice nor investment advice.

4.9 If there is any dispute regarding use of the Site, the General Terms, the Contents, or related Services, Hienvision shall have the right to make the final decision, without giving any justification. 

4.10 Some of the Contents in the Site may use artificial intelligence tools for illustration purpose.

4.11 You irrevocably agree to solely assume all risks relating to the use of the Site, any Contents; or inability to use the Site. 

5. Links to other websites

5.1 The Site may contain links to third-party websites that are not owned or controlled by us. Hienvision shall not have any responsibility for: (a) any content, policies, activities, or practices of any third party or (b) any matters relating to third-party websites.

5.2 You agree that Hienvision and the Group are not liable and shall not be liable for any costs, expenses, loss, or damages: (a) caused or may be caused by any third party; (b) in connection with the use of any third-party websites or (c) arising from or relating to any use of the Site, Contents, or any links to third-party websites.

6. Indemnification

You agree to fully indemnify, defend, and hold harmless Hienvision and the Group harmless from any claim or demand, including but not limited to legal and attorneys’ fees, made by any person, entity, or third party due to or arising (directly or indirectly) from your use of the Site; or any of your breach of these General Terms or any applicable Laws, or violation of rights of any third parties. 

7. Personal Information

Your submission of personal information through our Site is governed by our Privacy Policy.

8. Severability

In the event that any part provision of these General Terms is determined to be invalid, void or incapable of being enforced by a court of competent jurisdiction, such provision(s) will nonetheless be enforceable to the fullest extent permitted by law, and the unenforceable part shall be deemed to be severed from the General Terms; and such determination shall not affect the validity and enforceability of any other remaining parts or provisions of the General Terms (all the remaining part or provisions which shall remain in full force and effect).

9. Singular and plural

Reference to singular includes plural and vice versa.

10. Changes to These General Terms

Hienvision may modify and update these General Terms at any time. Any changes will be effective immediately upon Hienvision’s posting on the Site. Your continued use of the Site after any changes by Hienvision, to the General Terms, constitutes your acceptance of our new General Terms.

11. No waiver

Any failure of Hienvision to exercise or enforce any right or provision of these General Terms shall not constitute a waiver of such right or provision.

12. Others 

12.1 Hienvision has the right to add, amend or update any Contents, or supplemental terms for purchase or subscription of any of Services, at any time and from time to time.

12.2 These General Terms constitute the entire agreement, between you and Hienvision, that govern your use of the Site, superseding any prior agreements between you and Hienvision (including, but not limited to, any prior versions of these General Terms).

12.3 Unless expressly provided to the contrary in the General Terms, the application of the Contracts (Rights of Third Parties) Ordinance is explicitly excluded. 

13. Governing Law

These General Terms and/or any use of Services shall be governed by and construed in accordance with the laws of Hong Kong. You (Users) irrevocably and unconditionally submits to the exclusive jurisdiction of Hong Kong courts.
